OVERVIEW

MUVQIA™ is the storefront operated by DUNEDIN PET SUPPLY, LLC, a Florida Limited Liability Company. In these Terms, “we,” “us,” and “our” refer to DUNEDIN PET SUPPLY, LLC and MUVQIA™. We operate this store and website, including the associated information, content, features, tools, products, and services (collectively, the “Services”) to provide an online shopping experience. Shopify powers the platform that enables us to provide the Services.

These Terms of Service, together with the policies they reference (the “Terms”), set out the rights and responsibilities that apply when you use the Services. Please read them carefully. They include important legal terms, including warranty disclaimers and limits on liability.

By visiting, interacting with, or otherwise using the Services, you agree to these Terms and our Privacy Policy. Do not access or use the Services if you do not agree to them.

SECTION 1 — ACCESS AND ACCOUNTS

By accepting these Terms, you confirm that you are at least the age of majority where you live. You also confirm that you have permitted any minor dependents to use the Services on devices that you own, purchase, or manage.

We may ask for information such as your email address and billing, payment, or shipping details when you browse the store, use an account, or make a purchase. You promise that the information you provide is accurate, current, complete, and information that you have the right to provide.

You are responsible for safeguarding your account credentials and for all activity carried out through your account. Accounts may not be sold, transferred, assigned, or licensed to another person.

SECTION 2 — PRODUCTS

We work to present our products and services accurately in the online store. Even so, colors and appearances may look different on your device because of its display settings and configuration.

We do not guarantee that a product or service will meet every expectation or match its online depiction exactly. Product descriptions may be changed without notice at our discretion. We may discontinue any item at any time and may limit the quantity available to a particular person, geographic area, or jurisdiction on a case-by-case basis.

SECTION 3 — ORDERS

Submitting an order is your offer to buy the selected item(s). MUVQIA™ may accept or decline that offer for any reason in its discretion. An order is not accepted until we confirm acceptance, and we must receive and process payment before acceptance occurs.

Review an order before submitting it. Once an order has been accepted, we may be unable to honor a cancellation request. If we decline, change, or cancel an order, we will attempt to contact you using the email address, billing address, and/or phone number supplied with the order.

Returns and exchanges are available only as described in our Return and Refund Policy. You promise that purchases are for personal or household use only, not for resale or export.

SECTION 4 — PRICES AND BILLING

Pricing, promotions, and discounts can change without advance notice. The price in effect when you place the order is the price charged and will appear in your order-confirmation email. Unless we clearly state otherwise, listed prices exclude taxes, shipping, handling, customs charges, and import fees.

Store prices may differ from prices offered in physical locations or by third-party online or other retailers. We may occasionally offer promotions that have their own terms. If promotional terms conflict with these Terms, the promotional terms control.

For every purchase, you agree to provide accurate, current, and complete account and payment information and to promptly update it, including email addresses, card numbers, and expiration dates, so that we can complete transactions and contact you when needed.

You represent and warrant that: (i) the card information you provide is true, correct, and complete; (ii) you are authorized to use that card; (iii) the card issuer will honor the charges; and (iv) you will pay the posted charges, including applicable shipping, handling, and taxes.

SECTION 5 — SHIPPING AND DELIVERY

Delivery dates are estimates only, not guarantees. We are not responsible for delays caused by carriers, customs processing, or circumstances outside our control. Title and risk of loss transfer to you once we deliver products to the carrier.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and their contents—including trademarks, brand elements, text, displays, images, graphics, reviews, video, audio, and the selection, organization, and design of those materials—belong to MUVQIA™, its affiliates, or licensors and are protected by United States and international patent, copyright, and other intellectual-property laws.

You may use the Services only for personal, non-commercial purposes. Without our written permission, you may not reproduce, distribute, alter, create derivative works from, publicly display or perform, republish, download, store, or transmit any material from the Services. Except where these Terms expressly say otherwise, they do not grant you a license or any other right under the intellectual property of MUVQIA™, Shopify, or any third party. Unauthorized use may violate federal or state intellectual-property laws. All rights not expressly granted are reserved.

MUVQIA™ names, logos, product and service names, designs, and slogans are trademarks of MUVQIA™ or its affiliates or licensors and may not be used without prior written permission. Shopify’s names, logos, product and service names, designs, and slogans belong to Shopify. Other names, logos, product and service names, designs, and slogans shown in the Services belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

The Services may make third-party customer tools available. We do not monitor, control, or provide input into those tools. They are offered “as is” and “as available,” without any warranty, representation, condition, or endorsement from us. We have no liability arising from or related to your use of optional third-party tools.

Use of an optional tool is entirely at your own risk and discretion. Before using one, make sure you understand and accept the relevant third party’s terms. Future features, tools, or resources that we release through the Services are also part of the Services and are governed by these Terms.

SECTION 8 — THIRD-PARTY LINKS

The Services may include third-party materials, hyperlinks, or embedded third-party functionality. We are not responsible for reviewing or evaluating the content or accuracy of those outside materials or sites. If you leave the Services to access them, you do so at your own risk.

We are not liable for harm or damages arising from access to a third-party website or from purchasing or using products, services, resources, or content there. Review the third party’s policies and practices before entering a transaction. Direct questions, complaints, claims, or concerns about third-party products or services to the applicable third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Shopify provides the technology that powers MUVQIA™. Sales and purchases made through this store are made directly with DUNEDIN PET SUPPLY, LLC, not Shopify. By using the Services, you acknowledge that Shopify is not responsible for any part of a sale between you and us, including injury, damage, or loss connected to products or services purchased from us. You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to your purchases and transactions with MUVQIA™.

SECTION 10 — PRIVACY POLICY

Personal information that we collect through the Services is governed by our Privacy Policy, which is available on the Privacy Policy page. Some personal information may also be governed by Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read those policies.

Because Shopify hosts the Services, it collects and processes personal information related to your access to and use of the Services in order to provide and improve them. Information submitted to the Services is transmitted to and shared with Shopify and with third parties, including parties located in countries other than where you live, as needed to provide the Services. SECTION 11 — FEEDBACK

If you submit ideas, suggestions, feedback, reviews, proposals, plans, or other material by uploading, posting, emailing, or otherwise sending it to us (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium and for any purpose, including commercial use. For example, we may use it to run, provide, assess, improve, enhance, and promote the Services and to exercise our rights or fulfill our obligations under these Terms.

You represent and warrant that: (i) you own or have all necessary rights in the Feedback; (ii) you have disclosed any compensation or incentives received in connection with it; and (iii) it complies with these Terms. We are not required to keep Feedback confidential, pay for it, or respond to it.

We may, but are not required to, review, edit, or remove Feedback that we determine in our discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, or in violation of a party’s intellectual-property rights or these Terms.

Feedback must not violate another person’s copyright, trademark, privacy, publicity, or other personal or proprietary rights. It must not contain libelous, unlawful, abusive, or obscene material, nor a computer virus or other malware that could affect the Services or a related website. Do not use a false email address, impersonate another person, or otherwise mislead us or a third party about the source of Feedback. You are responsible for the Feedback you provide and its accuracy; we assume no responsibility or liability for Feedback posted by you or another party.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

Information in the Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We may correct an error, update information, or cancel an order whenever information is inaccurate, without prior notice, including after an order has been submitted.

SECTION 13 — PROHIBITED USES

Use the Services only for lawful purposes. You may not use or access them, directly or indirectly, to: (a) engage in an unlawful or malicious purpose; (b) violate international, federal, provincial, state, or local laws, rules, regulations, or ordinances; (c) infringe our or another person’s intellectual-property rights; (d) harass, abuse, insult, harm, defame, slander, disparage, or intimidate our employees or anyone else; (e) transmit false or misleading information; (f) send, knowingly receive, upload, download, use, or reuse material that does not comply with these Terms; (g) send or arrange for junk mail, chain letters, spam, or other similar solicitations; (h) impersonate or try to impersonate another person or entity; or (i) take any other action that restricts another person’s use or enjoyment of the Services or that could harm MUVQIA™, Shopify, or users of the Services or expose them to liability.

You also agree not to: (a) upload or transmit viruses or other malicious code that affects the Services’ functionality or operation; (b) reproduce, duplicate, copy, sell, resell, or exploit any part of the Services; (c) collect or track other people’s personal information; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or bypass the security features of the Services, a related website, other websites, or the Internet. We may suspend, disable, or terminate your account without notice if we determine that you have violated these Terms.

SECTION 14 — TERMINATION

We may end this agreement or your access to all or part of the Services at any time, in our discretion and without notice. You remain responsible for all amounts due through the termination date.

The provisions concerning Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any provision that should continue by its nature survive termination.

SECTION 15 — DISCLAIMER OF WARRANTIES

Information made available through the Services is for general information only. We do not guarantee its accuracy, completeness, or usefulness. Any reliance on that information is at your own risk, and we disclaim liability and responsibility for reliance placed on those materials by you, another visitor, or anyone informed of their contents.

EXCEPT WHERE MUVQIA™ EXPRESSLY STATES OTHERWISE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW OR LIMIT DISCLAIMERS OF IMPLIED OR OTHER WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 16 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, MUVQIA™, DUNEDIN PET SUPPLY, LLC, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND SHOPIFY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FROM YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THEM, OR FROM ANY RELATED CLAIM. THIS LIMITATION INCLUDES ERRORS OR OMISSIONS IN CONTENT AND LOSS OR DAMAGE ARISING FROM SERVICES, CONTENT, OR PRODUCTS POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

SECTION 17 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MUVQIA™, DUNEDIN PET SUPPLY, LLC, Shopify, and our and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party losses, damages, liabilities, claims, and reasonable attorneys’ fees arising from: (1) your breach of these Terms or documents they incorporate; (2) your violation of a law or a third party’s rights; or (3) your access to or use of the Services.

We will notify you of an indemnifiable claim. A delayed notice does not release you from your obligations unless the delay materially prejudices you. At your expense, we may control the defense and settlement, including the choice of counsel, but we will not settle a claim that requires a non-monetary obligation from you without your consent, which may not be unreasonably withheld. You will cooperate in defending indemnified claims, including by providing relevant documents.

SECTION 18 — SEVERABILITY

If a provision of these Terms is held unlawful, void, or unenforceable, that provision will still be enforced to the greatest extent the law allows. The unenforceable portion will be severed, and the remaining provisions will remain valid and enforceable.

SECTION 19 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision is not a waiver of that right or provision. These Terms, together with policies or operating rules posted on this site or for the Services, are the entire agreement between you and us concerning the Services and replace all prior or contemporaneous oral or written agreements, communications, and proposals, including earlier versions of these Terms. Ambiguities in these Terms will not be interpreted against the party that drafted them.

SECTION 20 — ASSIGNMENT

You may not delegate, transfer, or assign these Terms or your rights or obligations under them without our prior written consent; any attempted assignment without that consent is void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice.

SECTION 21 — GOVERNING LAW

These Terms and any separate agreement under which we provide Services are governed by and interpreted under applicable federal law and the laws of the State of Florida. You and MUVQIA™ consent to venue and personal jurisdiction in the applicable federal and state courts in Florida.

SECTION 22 — HEADINGS

Headings are included only to make these Terms easier to read. They do not limit or change the meaning of any provision.

SECTION 23 — CHANGES TO THESE TERMS

The current version of these Terms is always available on this page. We may update, change, or replace any part of these Terms by posting a revised version on the website. You are responsible for reviewing the page periodically. Where required by law, we will notify you of a material change; the change will take effect on the date stated in that notice. Continuing to use or access the Services after a change is posted means you accept the revised Terms.
